Board Seats

Board Seats are how you record the people on your board. You’ll find them under Governance → Board Constitution. Once a seat exists, you can give that member access to the board portal and invite them to board meetings.

What a seat records

Each board seat captures the member’s:

  • Name
  • Email
  • Organization
  • Term dates (when it starts and ends)
  • Notes

Seat types

Choose the type that best describes the member’s role on the board:

  • Director
  • Observer
  • Founder director
  • Secretary
  • Counsel
  • Guest

A seat can be linked to an existing User, Shareholder, or Member so it connects to the right person in your account. You can also record who appointed them.

Seat status

A seat is either active or inactive.

Deactivating a seat is audited and also turns off that member’s portal access automatically.

Per-seat portal access

You control portal access seat by seat:

  1. Toggle portal access on to generate a unique magic-link token. That board member can then sign in to the read-only board portal.
  2. Toggle it off to revoke their access.

Audit log

Every seat change is logged, so you have a record of activity. Logged events include:

  • Created
  • Updated
  • Portal enabled or disabled
  • Deactivated
  • Board Meetings — plan agendas, add participants, and share meetings with portal-enabled seats.
